Arcanor AI User Agreement

Arcanor AI User Agreement

Version 2.0 · Effective date: 1 August 2026

Version 2.0 · Effective date: 1 August 2026

This User Agreement (the “Agreement”) governs the use of the Arcanor AI audience planning and location analytics platform (the “Platform”), which Arcanor UK Ltd. (“Arcanor”) provides on a software-as-a-service (SaaS) basis at ai.arcanor.com. Arcanor UK Ltd. is registered in England and Wales under company number 14010744, and its registered office is at 5 Cheapside North Circular Road, Palmers Green, London, United Kingdom, N13 5ED.

This Agreement is displayed on the login screen when you first access the Platform and each time a new version is released. By ticking the checkbox and clicking the “Accept and continue” button, you confirm that you have read and accept this Agreement. The Platform cannot be used unless this Agreement has been accepted.

1. Acceptance and Eligibility

1.1 Acceptance. You must accept this Agreement in order to use the Platform. Each user who accesses the Platform must also accept this Agreement separately through their own Account.

1.2 Business use only. The Platform is intended solely for businesses and professionals and is not offered to consumers. You must be at least 18 years of age to use the Platform.

1.3 Acceptance on behalf of an organisation. If you accept this Agreement on behalf of a company, you represent that you are authorised to bind that company. In that case, "Customer" means that company, and "you" refers to both you and the Customer.

1.4 Geographic scope. This Agreement applies equally to all users, regardless of the country in which they are located or from which they access the Platform. You are responsible for using the Platform in compliance with the laws of the country in which you are located.

1.5 Order Forms. Annual Subscriptions are entered into by means of an order form or written agreement signed by Arcanor's authorised representatives (an "Order Form"). In the event of any conflict, the Order Form shall prevail. Any terms contained in the Customer's purchase orders shall not apply unless Arcanor has accepted them in writing.

1.6 Key provisions. You acknowledge that Clauses 5 (fees and refunds), 6 (Outputs), 7 (personal data), 13 (suspension and termination), 14 (disclaimer of warranties), 15 (indemnification), 16 (limitation of liability) and 17 (governing law) were expressly brought to your attention before acceptance, and that the limitations of liability are reasonable having regard to the price and nature of the Platform.

2. Definitions

“Account”: the user account used to access the Platform.

“Annual Subscription”: a paid plan entered into by means of an Order Form, with a term of 12 months, under which a specified number of Monthly Credits is allocated for each 30-day period.

“Audiences”: anonymous and aggregated segments defined by location, visitation patterns, interests or demographic characteristics. Audiences do not contain personal data.

“Connected Ad Platform”: a third-party advertising platform or demand-side platform (DSP), such as Meta, TikTok, Google or The Trade Desk, that you connect to the Platform.

“Credit Pack”: a quantity of Credits purchased in advance by credit card; Credits loaded under a Credit Pack are referred to as “Pack Credits”.

“Credits”: the units consumed when using the paid features of the Platform, comprising Monthly Credits and Pack Credits.

“Inputs”: the information you enter in order to use the Platform, including prompts, uploaded files, coordinates and map areas. Inputs and Outputs are together referred to as “Customer Content”.

“Monthly Credits”: the Credits loaded to the Account for each 30-day period under an Annual Subscription.

“Outputs”: the results that the Platform generates in response to your Inputs, including answers, audience size and reach estimates, footfall reports, heat maps, dashboards and exports.

“Platform Data”: anonymous and aggregated data made available through the Platform by Arcanor or by third-party data providers (each a “Data Provider”).

3. The Service

3.1 Platform. The Platform is an audience planning and location analytics tool provided over the internet. Using the Platform, you can ask questions and receive answers based on Platform Data, explore and create Audiences, generate footfall and heat map reports, and export Audiences to Connected Ad Platforms.

3.2 Not a performance tool. The Platform is not a performance tool. It does not measure, report on or optimise the performance of advertising campaigns (such as impressions, clicks, conversions, sales or return on ad spend), and it does not guarantee any campaign results.

3.3 Changes. We continuously develop the Platform and may change its features or data sources. Wherever possible, we will give advance notice of any change that materially reduces its core functionality.

3.4 Beta features and trial credits. Features labelled as beta, and free trial or promotional Credits, are provided "as is", carry no commitment of any kind and may be withdrawn at any time.

3.5 Usage limits. We may apply reasonable usage limits (for example, limits on queries or exports) in order to protect the security and performance of the Platform.

4. Accounts

4.1 Keep your Account information accurate. Each Account belongs to a single individual; do not share your login credentials with anyone.

4.2 You are responsible for all activity carried out through your Account. If you suspect any unauthorised access, notify us immediately at support@arcanor.com.

4.3 The Customer's administrator may create and manage user accounts and view how those accounts are used. The Customer is responsible for ensuring that its users comply with this Agreement.

5. Fees, Credits and Payment

5.1 Purchase options. You may use the Platform either (a) under an Annual Subscription entered into by means of an Order Form, or (b) with Credit Packs purchased by credit card. Holders of an Annual Subscription may also purchase additional Credit Packs.

5.2 Use of Credits. Actions such as prompts, reports and Audience exports consume Credits. Where possible, the Platform shows the Credit cost of an action in advance; your balance and all deductions are shown in the Transaction History section. Monthly Credits are used first.

5.3 Annual Subscription. At the start of each 30-day period, the Monthly Credits specified in the Order Form are loaded to your Account. Monthly Credits that remain unused at the end of a period expire, do not roll over to the next period and are non-refundable; they are replaced by the Monthly Credits for the new period. An Annual Subscription is a 12-month commitment, and the full fee is payable even if the Credits are not used. Unless otherwise specified in the Order Form, the subscription renews for the same term unless written notice is given at least 30 days before the end of the current term.

5.4 Credit Packs. Credit Packs are purchased in advance by credit card on the Platform and are loaded to your Account once payment has been confirmed. Pack Credits purchased by credit card are valid for 12 months from the date of purchase; any Pack Credits that remain unused at the end of that period expire. Credit Packs do not renew automatically. Card payments are processed by our payment service provider; we do not store your card details.

5.5 Prices and taxes. All prices are stated in US dollars (USD) and are exclusive of taxes, including VAT. You are responsible for declaring and paying any taxes due in your country (including under the reverse-charge mechanism); if you are required to withhold any tax, the amount payable shall be increased so that we receive the full net amount. Exchange rate differences and bank charges are borne by you. We may change our prices by giving 30 days' notice; any such change will not affect Credits already purchased or the current subscription period.

5.6 Refunds. Credits have no cash value and are non-transferable. Credits used for actions that fail due to an error attributable to the Platform will be restored. Except in the cases set out in Clause 13.3, payments and unused Credits are non-refundable.

5.7 Invoices and late payment. Unless otherwise specified, invoices issued under an Order Form are payable within 30 days. If a payment is late, we may suspend access and claim late payment interest and debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. Any dispute regarding fees must be sent to support@arcanor.com within 30 days; once that period has passed, the fees become final. If a chargeback is initiated without valid grounds, the relevant Credits may be deducted from the Account.

6. Customer Content and Outputs

6.1 Your rights. All rights in your Inputs belong to you. Rights in the Platform Data and Audiences contained in the Outputs belong to Arcanor and the Data Providers; for the term of this Agreement, we grant you a licence to use the Outputs in accordance with Clause 6.4.

6.2 Permission you grant to Arcanor. We use Customer Content solely to provide the Platform to you, keep it secure, comply with applicable law and prevent misuse.

6.3 Nature of AI outputs. Outputs are analyses and statistical information generated from consented, anonymous and aggregated mobility data. Outputs may not be unique, and other users may receive similar Outputs. You are responsible for checking the accuracy and suitability of Outputs before using them, and for any decisions you make in reliance on them (including site selection, leasing and media budgets). Outputs do not constitute legal, financial or investment advice.

6.4 Use of Outputs. You may use Outputs for your own internal business purposes and for planning your advertising campaigns. Agencies may use them for their own clients. You may use a limited number of aggregated figures in presentations, provided that "Arcanor AI" is credited as the source. You may not sell or distribute Platform Data or Outputs as a standalone data product. Certain Audiences may be subject to additional restrictions imposed by Data Providers.

6.5 Usage data. We may collect anonymous technical data about how the Platform is used (such as feature usage, Credit consumption and errors) in order to operate and improve the Platform.

7. Personal Data, Privacy and Security

7.1 No personal data. The Platform is not designed to process personal data, and it contains no personal data. Platform Data, Audiences and Outputs consist solely of anonymous and aggregated information. No personal data is made available to you through the Platform; you cannot access individuals' names, contact details, advertising identifiers or individual location histories.

7.2 No uploading of personal data. You may not upload personal data to the Platform, such as individuals' names, email addresses, telephone numbers, home addresses or advertising identifiers. Your Inputs are limited to business information such as coordinates and store or billboard locations.

7.3 Account information. The sole exception to this rule is the login information associated with Accounts, such as name, email address and IP address. This information is processed solely for account management and security purposes, in accordance with our Privacy Policy at https://www.arcanor.com/privacy.

7.4 Compliance. The Platform is designed and operated to comply with the GDPR, the UK GDPR and the CCPA. Arcanor is a registered vendor under the IAB Europe Transparency and Consent Framework (TCF) v2.2, with vendor ID 1173.

7.5 Security. We apply industry-standard technical and organisational measures to protect Customer Content and account information. Data may be processed in different countries by our service providers (such as cloud hosting, mapping and AI model providers).

8. Acceptable Use

You may not use the Platform, or permit others to use it, to:

(a) identify, re-identify, track, monitor or profile individuals or households, or combine Platform Data with other data for any such purpose;

(b) carry out targeting based on sensitive locations, such as healthcare facilities, places of worship or shelters, or on sensitive characteristics, such as health, sexual orientation, religion, political opinions or ethnic origin;

(c) engage in unlawful discrimination or make decisions on eligibility for housing, employment, credit or insurance;

(d) target children;

(e) serve law enforcement, intelligence or surveillance purposes;

(f) scrape or bulk download Platform Data, or attempt to obtain our models, system prompts or source code through reverse engineering or prompt injection;

(g) develop a competing product or AI model, or resell the Platform or make it available to third parties without our consent;

(h) circumvent Credit metering, usage limits or security controls; or

(i) breach applicable laws, sanctions or the policies of advertising platforms.

9. Connected Ad Platforms and Third-Party Services

9.1 Connection. By connecting your advertising platform accounts to the Platform, you authorise us to access those accounts to the extent necessary to export and manage Audiences. Only connect accounts that you are authorised to use, and check the Audience and the destination account before each export.

9.2 Third-party terms. Third-party services such as Connected Ad Platforms and Google Maps are subject to their own terms. By using the map features, you agree to the Google Maps/Google Earth Additional Terms of Service (https://maps.google.com/help/terms_maps/). You and the relevant platform are responsible for the content, targeting and results of your campaigns, for compliance with the advertising platforms' policies, and for any data processing that takes place on those platforms when you use Audiences there.

9.3 No liability. We are not responsible for third-party services. We cannot be held liable for the rejection of Audiences, match rates, delivery issues or the suspension of your advertising accounts, and no refund of Credits may be claimed on these grounds.

10. Intellectual Property and Feedback

10.1 All rights in the Platform, including the software, models, Platform Data and the Arcanor trade marks, belong to Arcanor and its licensors. Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable and non-sublicensable right to use the Platform for the term of this Agreement.

10.2 We may freely use your suggestions and feedback without incurring any obligation to you.

11. Confidential Information

Each party shall use any non-public information obtained from the other party (including Customer Content, non-public features of the Platform and prices) solely for the purposes of this Agreement, shall protect it with at least reasonable care and shall disclose it only to persons who need to know it. Disclosures required by law are excluded from this obligation.

12. Publicity

We may use the Customer's name and logo in our customer lists to promote our products. If you do not want us to do so, simply let us know at support@arcanor.com. We will obtain your separate consent for any other publicity activities.

13. Term, Suspension and Termination

13.1 Term. This Agreement takes effect as soon as you accept it and continues until it is terminated.

13.2 Suspension. We may suspend or restrict your Account in the event of an actual or suspected breach of this Agreement, a security risk, late payment or a legal requirement. Where possible, we will notify you in advance and will restore access once the issue has been resolved.

13.3 Termination. You may close your Account at any time by writing to support@arcanor.com; this does not end your payment obligations under an Annual Subscription. We may terminate this Agreement immediately in the event of a material breach (if not remedied within 15 days), a serious breach of Clause 8 or insolvency, or for any other reason by giving 30 days' notice. In the latter case, we will refund the price of any unused Pack Credits and the portion of any prepaid subscription fee that relates to the remaining term.

13.4 Effect of termination. Upon termination, your access ends and any unused Credits lapse (except where refunded under Clause 13.3). Export any Outputs you need beforehand; we will delete Customer Content within 90 days. Provisions which by their nature are intended to survive termination shall remain in force.

14. Disclaimer of Warranties

The Platform, Platform Data and Outputs are provided "as is" and "as available". To the maximum extent permitted by law, we give no warranties of any kind, whether express or implied, including as to accuracy, merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

15. Indemnification

15.1 Arcanor's indemnification obligation. Arcanor shall not be liable for claims asserted in relation to matters such as data originating from Data Providers, Customer Content, use of the Platform in combination with other products or in modified form, and allegations that the Platform infringes a third party's intellectual property rights.

15.2 Your indemnification obligation. All losses, including third-party claims, administrative fines and reasonable legal fees, arising from your Inputs, your campaigns or any breach of this Agreement, applicable law or advertising platform policies, fall outside Arcanor's responsibility.

16. Limitation of Liability

16.1 Neither party shall be liable for any indirect, incidental, special or consequential damages, or for any loss of profit, revenue, goodwill or data, even if advised of the possibility of such damages.

16.2 These limitations do not apply to your payment obligations, to your liability for breach of Clauses 7.2 and 8 or arising under Clause 15.2, or to liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

17. Governing Law and Disputes

17.1 This Agreement and all disputes arising out of or in connection with it are governed by the laws of England and Wales.

17.2 Before commencing legal proceedings, the parties shall attempt to resolve any dispute by negotiating in good faith for 30 days. The courts of England and Wales shall have exclusive jurisdiction over any dispute that cannot be resolved in this way. Arcanor may also apply to the courts of your country to recover amounts owed to it or to obtain interim relief.

18. General Provisions

18.1 Entire agreement. This Agreement, together with the Privacy Policy and any Order Form, constitutes the entire agreement between the parties.

18.2 Electronic acceptance and records. Acceptance of this Agreement by electronic means is binding. We record the version accepted, the date and time of acceptance, the Account and the IP address; these records and Transaction History statements shall constitute evidence unless proven otherwise.

18.3 Export controls and sanctions. The Platform may not be used in sanctioned countries, by persons on sanctions lists, or in breach of applicable export control laws.

18.4 Assignment. You may not assign your rights without our consent. Arcanor may assign this Agreement to an affiliate or in connection with the sale of its business.

18.5 Force majeure. Neither party shall be liable for events beyond its reasonable control (including natural disasters, war, internet outages and failures of advertising platforms or Data Providers); this provision does not apply to payment obligations.

18.6 Miscellaneous. The invalidity of any provision shall not affect the remaining provisions. Failure to exercise a right shall not constitute a waiver of that right. The parties are independent contractors. This Agreement does not confer any rights on third parties (Contracts (Rights of Third Parties) Act 1999).

18.7 Language. The governing text of this Agreement is the English version; the Turkish text is a translation, and in the event of any discrepancy the English text shall prevail.
